1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the website located at districtdigital.co, our free marketing audit tool, and any related services (collectively, the "Services") provided by District Digital ("we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

2. Who We Are

District Digital is a local digital marketing and development agency serving small businesses in the Northern Virginia and Washington D.C. metro area. We provide SEO, Google & Meta Ads management, web development, mobile app development, Google Business Profile and social media management, and email marketing services.

3. Use of the Free Audit Tool

Our free audit tool generates an automated report based on the business name, website URL, and location you submit. By using the audit tool you agree that:

  • You will only submit URLs and business information that you own or are authorized to submit on behalf of the business.
  • Audit reports are provided for informational purposes only and are based on publicly available data and third-party APIs (including Google PageSpeed Insights). Results may not be exhaustive or fully accurate.
  • You will not attempt to abuse, automate, scrape, or overload the audit tool, including running excessive audits or audits against domains you do not own.

4. No Guarantees

The Services, including audit reports and any recommendations contained in them, are provided on an "as is" and "as available" basis. We do not guarantee any specific outcome — including search rankings, traffic, leads, or revenue — that may result from acting on our recommendations or engaging our services. Marketing results depend on many factors outside of our control.

5. Engagements and Paid Services

Any paid services (SEO, Google & Meta Ads management, web development, mobile app development, social media management, email marketing, or other engagements) are governed by a separate written agreement or statement of work between you and District Digital. In the event of a conflict between these Terms and your signed agreement, the signed agreement controls for that engagement.

6. Intellectual Property

All content on the Services — including text, graphics, logos, audit report templates, and software — is the property of District Digital or its licensors and is protected by U.S. and international intellectual property laws. You may not copy, reproduce, redistribute, or create derivative works from our content without our prior written permission, except that you may retain and use the audit report we generate for your own business's internal use.

7. Acceptable Use

You agree not to:

  • Use the Services in violation of any applicable law or regulation
  • Submit false, misleading, or fraudulent information
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems
  • Use the Services to harass, defame, or harm any person or business
  • Reverse engineer, decompile, or attempt to extract source code from any part of the Services

8. Third-Party Services and Links

The Services rely on and may link to third-party tools and websites, including Google Analytics, Google PageSpeed Insights, and Calendly. We are not responsible for the content, policies, or practices of any third-party service. Your use of those services is governed by their own terms and privacy policies.

9. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. We do not warrant that the Services will be error-free or that defects will be corrected.

10. Limitation of Liability

To the fullest extent permitted by law, District Digital and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages. Our aggregate liability for any claim arising out of these Terms or the free Services will not exceed one hundred U.S. dollars ($100). Liability for paid engagements is governed by the applicable signed agreement.

11. Indemnification

You agree to indemnify and hold harmless District Digital from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

14. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Arlington County, Virginia, and you consent to personal jurisdiction in those courts.

15. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects when changes were last made. Continued use of the Services after updates constitutes acceptance of the revised Terms.
